NOW, THEREFORE, in consideration of the foregoing and the mutual agreements herein contained, and for other good and valuable consideration, the receipt and adequacy of which are hereby expressly acknowledged, the parties hereto agree as follows:. Transfer of the Shares. Any transferee, by instrument in writing satisfactory to the City in form recordable among the land records, for itself and its successors and assigns, and for the benefit of the City, shall expressly assume all of the obligations of the Developer under this Agreement relating to the Property and agree to be subject to all the conditions an restrictions to which the Developer is subject. There shall be submitted to the City for review, all instruments and other legal documents proposed to affect any such Transfer; and if approved by the City, its approval shall be indicated to the Developer in writing. This Section VII, B shall not be deemed to prevent the granting of easements, rights of way, licenses or permits to facilitate the development of the Property. In the absence of specific written agreement by the City, no Transfer by Developer shall be deemed to relieve the Developer or any other Party from any obligations under this Agreement.
